Gröner Group presents its new structure

- Clear and lean corporate structure - division of the business areas into Gröner Group AG and CG Group GmbH.

Gröner Group AG, a nationwide company specialising in digitalised and sustainable construction, has initiated restructuring measures in order to organise a clear and transparent corporate structure. The Gröner Group has set up CG Group GmbH, now still trading as CG Innovation GmbH, as a company accordingly. The management of CG Group GmbH is provided by Christoph Gröner and Ronald Pofalla. Christoph Gröner is now the sole managing director of Gröner Group GmbH.
Background: Gröner Group AG has assumed two functions in the past. On the one hand, Gröner Group AG and its team have been responsible for managing the Group’s project companies. Gröner Group AG personnel provided legal and tax support with regard to the acquisition of building rights and the financing of the projects. On the other hand, Gröner Group AG was responsible for the provision and concertation of junior and mezz loans and provided the numerous project companies with corresponding funds. These functions overlap and lead to misinterpretations in the external presentation and also in the preparation of the balance sheet, for example due to the fact that the interest income was higher than the fee income in each case.

It no longer made sense to continue Gröner Group AG as a public limited company, as the business segment was significantly reduced as a result of the measures taken. From now on, Gröner Group AG will operate as Gröner Group GmbH. From now on, Gröner Group GmbH will be used exclusively to manage the loans extended. “A clear and lean corporate structure creates trust in the current market situation, which is why we have decided to set up CG Group GmbH alongside Gröner Group GmbH,” says company founder and Managing Director Christoph Gröner, adding: “In future, all fee, service and consultancy services for our own companies will be provided here.”

We will implement a clear separation of the individual business areas with CG Group GmbH, the underlying intermediate companies and the corresponding allocation of the project companies (see organisational chart). CG Elementum AG will also function as an intermediate company in the new structure. This will eliminate any duplication of functions and bundle the higher-level services in CG Group GmbH.

This also means that some of the employees of Gröner Group AG will be transferred to CG Group GmbH. Most of the employees of CG Elementum will also be taken on by CG Group GmbH or will continue their work in one of the service companies organised under it.
With this approach, the Gröner Group is taking account of the changed market situation. As a result, access to existing potential is retained and the continuity of the entire business operations is ensured.
